Spain

Spain, or the Kingdom of Spain, is a country covering the majority of the Iberian Peninsula in Southwestern Europe. It is one of the biggest EU Member States in terms of area, with the population of little below 47 million people. From 2002, the official currency in Spain is euro.

Legal provisions on company formation are stipulated in Spanish Companies Act. To establish a Sociedad Limitada (SL, a limited liability company), shareholders need to contribute initial capital of at least 3,000 EUR. The amounts need to be paid up in full and the shareholders need to present a suitable bank certificate upon registration. Company law permits in-kind contributions.

SLs may have a single shareholder but if this is the case, an applicable note should be present in the business register and in all trade documents. There is no maximum number of shareholders. A company may have a board of directors, but this is not mandatory. If shareholders establish a board of directors, it needs to have at least three members and a secretary. To set up an entity, shareholders are required to draw up bylaws and an incorporation deed which needs to be notarised.

Companies are under obligation to keep statutory accounting books and submit annual financial statements to the authorities. Enterprises that meet certain criteria are also under obligation to audit their statements.

 

Corporate tax in Spain is 25%. Upon certain conditions, newly established entities are taxed at a reduced, 15% rate. Fiscal law provisions provide tax incentives for research and development activities as well as investment in film and innovation in technology. Dividends and capital gains are taxed according to general rules. Tax losses may be carried forward indefinitely. Loss carryback is not permitted. Withholding tax rate is 19%. Corporate income tax is paid three times a year.

Spain is a part of the European Union and therefore participates in the single European market. It is also a member of the Organization for Economic Cooperation and Development (OECD). Spanish economy, in terms of nominal GDP, is the sixth biggest economy in Europe. It is largely driven by the services sector. Tourism industry contributes significantly to GDP growth due to Spain’s long coastline and dry summer climate.

The country is a parliamentary monarchy with the reigning monarch (currently King Felipe VI) as head of state. The executive power is in the hands of the President of the Government of Spain and his cabinet, the Council of Ministers. The country has a bicameral parliament (Cortes Generales) consisting of the Congress of Deputies and the Senate. Spanish political scene is dominated by two parties: PSOE and PP.

The biggest bank in Spain is Banco Santander. It is also Europe’s fifths largest bank and has presence in 16 EEA countries. Santander Group is one of the largest financial institutions in the world.
