Registering a company in Sweden runs through two authorities, Bolagsverket for the company itself and Skatteverket for its tax registrations, and the order matters.
Shareholders of a Swedish AB can be of any nationality and need not live in Sweden. The board is the part that catches foreign founders out: at least half of the styrelse must be resident in the EEA, or the company needs a dispensation from Bolagsverket. If you are based in the United States, India or anywhere else outside the EEA, that is the first thing to settle, and we arrange either route, dispensation or an EEA resident board member, before the company is filed. Buyers who need to sign a contract or a lease this month generally take the lagerbolag, while founders designing a holding structure more often register from scratch.

Sole ownership is unrestricted: the aktieägare of an AB can be a single person or company of any nationality, resident anywhere. The board is different. At least half of the styrelse must be resident in the EEA unless Bolagsverket grants a dispensation, so a founder living outside the EEA either applies for that dispensation or appoints an EEA resident board member alongside themselves. Sweden’s register of beneficial owners is held by Bolagsverket under the Act on Registration of Beneficial Owners. An AB must report every natural person holding more than 25% of the shares or votes, or otherwise controlling the company. It is not a freely browsable public register. Searchers have had to state their purpose since February 2023, and from 1 July 2026 the data goes only to authorities, obliged entities and applicants with a legitimate interest.

AB stands for aktiebolag, the Swedish limited company, governed by the Aktiebolagslagen. A privat AB needs SEK 25,000 of paid up capital and one board member, a publikt AB needs SEK 500,000 and a managing director. Almost every foreign owner uses the privat AB.
