Sweden
Sweden is EU’s third largest country, right after France and Spain. At the same time, it ranks just 13th in terms of population. The state is located in Northern Europe and covers a considerable part of the Scandinavian Peninsula. It borders Norway to the west and north and Finland to the east. Foreign investors who do not wish to operate in Sweden as a branch of foreign entity usually prefer to set up a private limited company (privat aktiebolag). The minimum share capital requirement is 50,000 SEK or its equivalent in EUR. In-kind contributions are permitted but must be evaluated.
Company owners need to prepare Memorandum and Articles of Association, pay up the share capital and register the entity with Companies Registration Office (Bolagsverket). The registration costs 2,200 SEK. Online application is available for holders of Swedish electronic identification (e-legitimation).
Company name must end with the word “aktiebolag” or “AB”. Shareholders are required to appoint a board of directors and apply to Swedish Fiscal Agency (Skatteverket) for a tax number. At least half of the board members have to be EEA residents. Limited companies must appoint an auditor, but small enterprises are exempted from the obligation.
Swedish enterprises may file their tax returns electronically. Corporate income tax rate is 21.4% and businesses are required to make monthly advance payments with regard to their tax liability. Capital gains tax is 30%. The standard VAT rate is 25%. Financial and some other services are exempt from VAT. In Sweden there is 4.25% levy imposed on the sale of real estate. Loss carryforwards are allowed.
