What company structure suits you best?

In Poland, there are several company structures available for people who wish to start doing business. They resemble company formations you may know from other parts of the world. We setup businesses of all of these forms.

Spółka z ograniczoną odpowiedzialnością / Limited Company

  • similar to British limited company and American limited liability company
  • minimum amount of share capital: 5,000 PLN
  • limited liability for company’s debts
  • board of directors
  • optional Supervisory Board
  • no restrictions on foreign shareholders

Spółka Akcyna / Joint-Stock Company

  • similar to British public limited company and American corporation
  • minimum amount of share capital: 100,000 PLN
  • limited liability for company’s debts
  • board of directors
  • supervisory board
  • no restrictions on foreign shareholders

Spółka Jawna /Registered Partnership

  • similar to British and American general partnership
  • joint subsidiary responsibility for company’s debts
  • partners do not need to be natural persons
  • all partners entitled to represent the company
  • no restrictions on foreign partners

Spółka Komandytowa / Limited Liability Partnership

  • similar to British and American limited partnership
  • no minimum amount of capital
  • at least one General Partner, fully liable for debts, and at least one Limited Partner with limited liability
  • only General Partners entitled to represent the company
  • liberty with regard to the share of profits between partners
  • no restrictions on foreign partners

Spółka Komandytowo-Akcyjna / Limited Joint-Stock Partnership

  • a hybrid between a partnership and a joint-stock company, comparable to Germany Kommanditgesellschaft auf Aktien (KGaA), Belgian commanditaire vennootschap opaandelen (CVA) or French société en commandite par actions (SCA)
  • minimum amount of share capital: 50,000 PLN
  • at least one General Partner, fully liable for debts, and at least one shareholder, with limited liability
  • liberty with regard to the share of profits between partners and shareholders
  • only General Partners entitled to represent the company
  • General Partners do not need to be natural persons
  • no restrictions on foreign partners or shareholders

Działalność gospodarcza osoby fizycznej / Sole proprietorship

  • available only to natural persons
  • full liability for company’s debts
  • no minimum amount of investment
  • total liberty to withdraw the profits

Oddział / Branch

  • A branch may provide operations of the same type as its parent company located abroad.

Przedstawicielstwo / Representative office

  • A representative office may provide operations within the scope of advertising and promotion.
